Introduction

LI BIQIAO is a partner at Dacheng Law Office. With more than a decade of legal practice, Li Lvshi specializes in domestic and international capital markets, private fund formation and investment, as well as mergers and acquisitions. Prior to joining Dacheng, he practiced at two leading Chinese law firms.

International Capital Markets
Li Lvshi has acted as Chinese counsel for issuers and investment banks in dozens of H-share and red-chip listings for state-owned and private enterprises. He has also participated in U.S. IPO projects for technology companies and, in 2022, played a key role in the first batch of Chinese companies issuing Global Depository Receipts (GDRs) on the SIX Swiss Exchange. His clients span industries such as new energy, pharmaceuticals/medical devices, traditional manufacturing, retail/consumer goods, and entertainment. Recognized for his expertise and proactive approach, He has earned high praise from both issuers and investment banking clients.

Domestic Capital Markets
He has advised on numerous IPO projects, major asset restructurings, and share issuance acquisitions, as well as bond offerings including convertible bonds, corporate bonds, private placements, and ultra-short-term financing notes.

Private Fund Formation
Li Lvshi has facilitated the establishment of funds initiated or participated in by central/local state-owned enterprises (SOEs) and listed companies, including:

The setup of private fund managers under China Minmetals Corporation;
The launch of the Beijing Science and Technology Innovation Fund;
The formation of Beijing Capital Development Investment Group (BCCDI) and its managed funds;
Multiple funds under Beijing Capital Technology Innovation Fund (ShouFaZhan);
Beijing Shunchuang Industrial Venture Capital Management Co., Ltd. and its managed funds;
Fund managers and their vehicles under HBIS Group;
The industrial M&A fund of listed company Kyland Technology.
Private Fund Investments
He has advised on more than 100 equity investments by government-guided funds, state-backed funds, and market-oriented funds.

The joint venture between Great Wall Motor and BMW Group to establish Spotlight Automotive;
The privatization of 51job (Nasdaq: JOBS);
Multiple financing rounds for SVOLT Energy and Gokin Solar;
