Introduction

Bella is a partner in the corporate group in Dacheng Beijing office. Her practice focuses on advising and assisting clients in connection with a broad spectrum of matters including corporate, investment, finance, business operation, commercial arrangements and associated regulatory issues, cross-border transactions, and cybersecurity and data compliance.

 

Bella regularly advises Chinese and international clients in the emerging market and TMT sector on corporate, financing, marketing, and general compliance matters. Her client base includes technology companies engaged in the business of internet, e-commerce, e-marketing, digital media, online education, software, and smart device.

 

She also assists companies in a variety of industries with respect to inbound and outbound investments by way of green fields, joint ventures, M&As, and other types of transactions. Her extensive and varied experiences allow her to bring a thorough understanding of the challenges encountered in the dynamic and fast-paced business environment and offer practical and efficient legal solutions.

 

In addition, Bella writes articles on foreign direct investment, outbound investment, and cybersecurity and data compliance. She is one of the contributors of practice notes published by Thomson Reuters Practical Law.

 

Bella obtained her LL.B., J.D. and P.C.LL from China University of Political Science and Law and the Chinese University of Hong Kong, respectively.

Global e-commerce platform: advised on the change in the regulatory requirements for e-commerce operation, consumer protection, and data compliance.

US digital payments platform: advised on the telecommunications regulation, cybersecurity and data protection, content management and platform liability of the chat function and UGC platform under the PRC legal regime.

Internet security solutions corporation: advised on privacy protection and data compliance of internet security solutions software and various smart devices and implementation of compliance program under CSL and the GDPR.

Financial holdings group: advised on the structure of its financial big data center and data compliance and privacy protection in its various business lines of inclusive finance, including small enterprise financial center, crediting rating and sharing of data with third parties.

Medical image AI company (listed company): advised on data compliance and cross-border data transfer to China from more than 10 jurisdictions.

European industrial group (listed company): advised on the client’s cybersecurity and data compliance program.

European web marketing company: advised on use of personal data for marketing purposes and exchange of personal data with third parties.

Transactions

Poste Italiane: advised the client on its first acquisition of an international company specialized in cross-border logistics services for the Chinese e-commerce market and establishment of a foreign wholly owned company in China in relation to this acquisition.

China Railway: advised on outbound investment and formation of a joint venture with its Indonesian partner in Indonesia to carry out the Jakarta-Bandung High Speed Railway Project, as well as restructuring, project finance and EPC matters of the project.

European active radar manufacturer: advised the client on formation of joint venture with a Chinese state-owned company.

German industrial group: advised the client on formation of joint venture with Chinese partner and commercial arrangements including secondment, technology licensing and service agreement.

Portuguese banking institution: advised the client on formation of a joint venture with its Chinese partner to carry out consumer finance business in China.

International bank headquartered in France: advised the client on formation of joint venter with Chinese partner and commercial arrangements to develop financial leasing and auto finance business in China.

French insurance company: assisted the client in establishing joint venture with its Chinese partner to conduct online sale of insurance products in China.

Everbright: advised the client on restructuring and investment in a Chinese company mainly engaged in providing internet security solutions and services.

Nasdaq listed company: advised on acquisition of a mobile data analytical company in China and subsequent restructuring of China operation.

Chinese aviation company: advised on procedures for disposition of state-owned assets and disclosure requirements under the listing rules with respect to sale of shares in a European aviation company.

European software company: advised on legal feasibility and key considerations for structuring direct investment in the software industry in China.

European online education company: advised on establishment and entry into China market and filing and license requirements for internet content provider.

Fintech lending platform: advised Jubao Connect Technology (Shenzhen) Joint Stock Company on its Series A financing of USD 200 million (post-valuation USD 4 billion) of its lending platform and establishment of variant VIE structure.

Bike sharing platform: advised on corporate issues in China and its outbound investment in more than 36 jurisdictions as well as regulatory requirements for operating bike sharing business in each jurisdiction.

A foreign-invested real estate company: advised on cooperation and formation of joint venture with a local state-owned company to develop ecotourism business in Chongqing, China.

PRC state-owned company: advised on equity transfer in a real estate company and transaction formalities required by the assets and equity exchange.
