Introduction

Gretchen Liu is Deputy Secretary of Party Committee and Senior Partner at Dacheng Shanghai. She also serves as co-leader of the Specialized Dispute Resolution Committee (China) of Dacheng, leader of Dacheng Shanghai Office Dispute Resolution Team, and co-leader of the Energy, Natural Resources and Environment Committee (China) of Dacheng.

 

Gretchen served as Executive Chair of Dacheng Shanghai, Chair of Dacheng Shanghai, Vice Chairman of the Region Board of Directors (China) of Dacheng, and Global Director of Dacheng. She was a policeman and then served as a judge in economic tribunal of an intermediate people’s court for ten years, earning over 20 years of experience in legal practice. Gretchen is also an arbitrator for arbitration institutions and serves as a consultant for civil and administrative litigation supervision cases with the Supreme People’s Procuratorate. Gretchen was granted 2019 – 2022 Shanghai Outstanding Lawyer.

 

Gretchen’s main practice areas are dispute resolution, finance, construction, as well as energy, environment, and natural resources. She serves as a legal consultant for a wide range of clients, including large central and state-owned enterprises, leading listed companies, multinational corporations, and financial institutions, with her expertise spanning many industries, such as manufacturing, energy and resources, commercial retail, high-technology, aerospace, and financial services.

 

Gretchen has represented clients in hundreds of cases before courts and arbitration tribunals in various jurisdictions and has extensive experience in litigation and arbitration cases. She is particularly adept at handling complex and challenging cases involving corporate, commercial, equity investment, and construction. Gretchen is well-versed in commercial trial, litigation and arbitration procedures based on her years of experience in trials and arbitrators' rulings in practice. This experience has sharpened her ability to grasp clients' commercial priorities and legal requirements. Gretchen delivers persuasive litigation strategies, leveraging her trial experience to resolve disputes effectively and comprehensively, maximizing the legitimate rights and interests of her clients.

 

Gretchen possesses extensive legal expertise in the energy, environment, and natural resources sectors. Gretchen’s legal team serves as a legal consultant for numerous foreign and domestic enterprises in the energy, natural resources, chemical, and nuclear sectors.

Representative Projects/Matters

Advised a green energy company on matters including carbon asset management, carbon emission allowance, and voluntary emission reduction trading, as well as LPG and LNG business.

Provided legal services for the formulation of Zhoushan Ocean Carbon Sink Development and Trading Management Measures involved in the Zhoushan Ocean Carbon Sink (Blue Carbon) Development and Trading Management Measures Preparation of Technical Service Project.

Advised China Carbon Emission Exchange Co., Ltd., the first national carbon emission right trading institution, on its establishment, and advised on the formation of the national carbon emission right trading institution and the development of the national carbon emission right trading market.

Advised a well-known e-commerce platform on users’ personal information protection, data processing compliance, and other related matters.

Advised a central enterprise throughout the entire process of a share acquisition by offering services covering various critical aspects, including transaction structure, state-owned property transaction, due diligence, asset appraisal entrustment, and the review of transaction documents.

Provided specialized legal services for a central enterprise on enterprise risk compliance assessment.

Represented a central enterprise to participate in a law project investing in establishing the first Technology Insurance Company in China, of which the enterprise acted as one of the initiators.

Represented a trust company in a dispute over a financial loan contract in litigation, to secure the best interests of the customer.

Represented a trust company in the enforcement of a notarized credit document, valued at over RMB300 million, achieving satisfactory results.

Represented a large real estate company in a dispute over a joint venture and cooperative real estate development contract. The case was complicated and went through several procedures from the local middle court, high court, and finally to the Supreme Court. It was retried by the Supreme Court and then remanded back to be retried by the local court in the first and second instances. Successful results were obtained for the client.

Represented a Fortune 500 construction conglomerate in construction contract disputes, valued at over RMB 1.2 billion, achieving favorable results.

Represented a company’s equity transfer dispute, nearly RMB100 million, and denied all claim requests from the other party.

Represented a listed company in a dispute over the equity transfer contract, with the equity transfer amounting to hundreds of millions, and achieved favorable litigation results.

Represented a direct selling company in an arbitration case concerning equity transfer disputes. The case involved such issues as equity proxy holding, transfer of direct selling license, and divestiture, with the total amount involved exceeding RMB 800 million. All arbitration claims from the opposing party were dismissed.

Represented a listed company in a dispute over liability for infringement of rights and interests of shareholders with the amount of equity transferred over one billion yuan. All requests of the other party have not been supported.

Represented a Fortune 500 company in a series of disputes arising from the acquisition of data assets across multiple jurisdictions, including Singapore, Frankfurt, and Hong Kong SAR, with the total amount involved exceeding RMB 1 billion, and protecting the client’s maximum interests.
