Attorney Jian Ying has practiced law since 2002 and brings more than twenty years of front-line experience in banking, finance and capital-market matters. Jian Ying’s practice spans Mainland China, Hong Kong SAR, the United States, the United Kingdom, Australia, Singapore, Vietnam, Slovakia and Hungary, with aggregate transaction value exceeding RMB 1.5 trillion.
In Mainland China’s non-performing loan (NPL) market she has advised on portfolios located in all 31 provinces, autonomous regions and directly-administered municipalities, covering more than RMB 700 billion in face value. In peak years her single-year NPL transfers accounted for 17.58 % of the nationwide banking-sector total. Her client base embraces commercial banks, licensed and unlicensed asset-management companies and a full spectrum of market investors. Asset classes—numbering over fourteen—range from corporate and retail loans to trust credits and factoring receivables. She routinely structures direct sales, exchange listings, structured vehicles, reverse-entrusted collection and securitisation, and has built an end-to-end legal service chain that embeds counsel support in due-diligence, valuation, roadshows, pricing, closing and post-closing management, giving financial institutions a one-stop, replicable and standardised solution.
Lawyer Jian has over 10 years of practical experience in cross-border finance and capital market business, serving projects totaling over 1.5 billion US dollars. Led and coordinated a team of mainland Chinese lawyers to collaborate with 207 overseas law firms, providing legal support for cross-border financing projects in over 80 countries and regions, with a total project amount exceeding 560 million US dollars; Formed a cross-border syndicate on behalf of a large state-owned bank in Chinese Mainland to provide legal services for cross-border direct loan financing for a Hong Kong company (syndicated loans guaranteed by BVI companies). The project text was set as a standardized text by the bank and reused as a format text in subsequent similar projects; I have represented banks in providing legal services for cross-border financing projects to enterprises registered in more than 9 countries (regions).
Represented the People’s Bank of China / CBIRC-appointed Baoshang Bank takeover group, Mengshang Bank and Huishang Bank in the landmark resolution and subsequent asset disposals of Baoshang Bank—the first PRC bank ever taken over, the first to enter judicial insolvency since 1978 and the first resolved under the deposit-insurance regime via a purchase-and-assumption structure.
Delivered a special legal-review mandate for the General Office of the State Council.
For 13 consecutive years advised a mega state-owned bank on the nationwide disposal of NPLs with an aggregate principal balance exceeding RMB 300 billion across 31 provinces.
For 10 years coordinated PRC counsel teams with 207 foreign law firms to support cross-border financings in 80+ jurisdictions, with aggregate deal value above USD 560 million.
Advised the same state-owned bank on outbound guarantee and cross-border lending operations covering 80 and 54 countries/regions respectively.
Served as standing and deal counsel to China State Construction Engineering Corporation (SSE 601668) for all securities matters from 2011-2017, including China’s first-ever preferred-stock issue by a central SOE (RMB 30 billion), A-share incentive schemes, MTNs, CP and private placements.
Structured the first-ever bulk, single-name and structured NPL transfers for multiple banks.
Pioneered legal services for China’s first NPL structured-trading and reverse-entrusted disposal programmes.
Crafted documentation for the first “online + offline” multi-layer NPL transactions.
Advised on the launch of “Longjishi”, China’s first proprietary NPL trading platform.
Drafted the nation’s first bank option-loan clause.
Authored the first auto-loan insurance clause used by Chinese banks.
